1. Agreement to Terms

By accessing or using FlyFoxr ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

FlyFoxr is a virtual sports event platform that allows organizers to create and manage virtual running, cycling, and fitness events, and enables participants to join events, submit activities, and compete on leaderboards.

2. Eligibility

You must be at least 13 years old to use FlyFoxr. If you are under 18, you must have permission from a parent or legal guardian. By using the Service, you represent and warrant that you meet these eligibility requirements.

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities under your account

3.2 Account Types

Participants: Can register for events, submit activities, and view leaderboards.

Organizers: Can create organizations, manage events, review submissions, and manage participants.

4. Subscription Plans and Billing

4.1 Subscription Plans

FlyFoxr offers various subscription plans with different features and limits. Subscription fees are billed in advance on a monthly or annual basis.

4.2 Payment

All payments are processed through Stripe. By providing payment information, you:

• Authorize us to charge your payment method for the subscription fee
• Represent that you are authorized to use the payment method
• Agree to pay all applicable fees and taxes

4.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless canceled. You will be charged at the then-current rate for your plan.

4.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial periods or unused features.

4.5 Free Trial

Free trial subscriptions are available for new users only. You will be charged when the trial period ends unless you cancel before the trial expiration date.

5. User Content and Conduct

5.1 Your Content

You retain ownership of content you submit to FlyFoxr (activity data, photos, GPS tracks, etc.). By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and display your content to provide the Service.

5.2 Prohibited Conduct

You agree not to:

• Submit false, fraudulent, or misleading activity data
• Manipulate or cheat in events or leaderboards
• Upload content that infringes on others' intellectual property rights
• Post offensive, abusive, or inappropriate content
• Harass, threaten, or impersonate other users
• Attempt to gain unauthorized access to the Service
• Use the Service for any illegal purpose
• Interfere with or disrupt the Service or servers
• Scrape or copy content using automated means
• Resell or redistribute the Service

5.3 Activity Verification

All activity submissions are subject to verification by event organizers. You must provide accurate data and supporting evidence (photos, GPS files) as required by event rules. False submissions may result in disqualification and account suspension.

6. Event Organizer Responsibilities

As an event organizer, you are responsible for:

• Creating clear and fair event rules
• Reviewing and verifying participant submissions in a timely manner
• Communicating with participants about your events
• Complying with all applicable laws and regulations
• Ensuring proper use of participant data
• Maintaining your subscription to keep events active

7. Intellectual Property

7.1 FlyFoxr Ownership

The Service, including all software, designs, text, graphics, logos, and trademarks, is owned by FlyFoxr and protected by intellectual property laws. You may not copy, modify, or create derivative works without our permission.

7.2 Feedback

If you provide feedback or suggestions about the Service, we may use them without any obligation to you.

8. Privacy and Data Protection

Our use of your personal information is governed by our Privacy Policy. By using the Service, you consent to our collection and use of data as described in the Privacy Policy.

9. Disclaimers

9.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9.2 Health and Safety

FlyFoxr is a platform for organizing virtual events. Participants engage in physical activities at their own risk. Consult with a healthcare provider before starting any exercise program. We are not responsible for any injuries or health issues arising from participation in events.

9.3 User Content

We do not endorse or verify the accuracy of user-submitted content. Event organizers are responsible for verifying submissions. We are not liable for false or fraudulent activity data.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLYFOXR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR GOODWILL ARISING OUT OF YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless FlyFoxr from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Content you submit to the Service

12. Termination

We reserve the right to suspend or terminate your account at any time for:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of subscription fees
• Prolonged inactivity

Upon termination, your right to use the Service will immediately cease. We may delete your data in accordance with our Privacy Policy.

13. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We will not be liable for any modification, suspension, or discontinuation of the Service.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which FlyFoxr operates, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration, except where prohibited by law.

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FlyFoxr regarding the Service.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
